TERMS OF SERVICE

1. AGREEMENT TO THESE TERMS

These Terms of Service (“Terms,” “ToS,” or “Agreement”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you,” “your,” “Customer”), and ExpertWeb INC (“we,” “us,” “our,” “Company,” “Service”).

By accessing, registering for, or using our website, platform, dashboard, and any related services (collectively, the “Service”), you represent that you have read, understood, and agree to be bound by all of these Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.

We may modify these Terms at any time by posting updated terms on the Service or notifying you via email. Your continued use of the Service following any modifications constitutes your acceptance of the modified Terms. We recommend you review these Terms periodically.


2. SERVICE DESCRIPTION

ExpertWeb INC provides a white-label, cloud-based reputation management platform that aggregates review data from multiple review sites and allows you to manage, monitor, and respond to customer reviews.

What We Do:

  • Aggregate review data from third-party review platforms
  • Provide a dashboard interface to view and manage reviews
  • Enable you to respond to reviews directly through our platform, which we will post to the respective review sites on your behalf
  • Optionally provide AI-powered response features to assist with reply generation

What We Do NOT Do:

  • We do not host or store review data we don’t ourselves retrieve. All reviews are aggregated from third-party review sites.
  • We do not monitor, moderate, or verify the content you post, upload, or respond with
  • We do not provide legal advice regarding review site compliance
  • We do not guarantee any performance, uptime, or functionality
  • We have zero liability for any outcomes, damages, or consequences arising from your use of the Service

3. ELIGIBILITY & USER REPRESENTATIONS

You represent and warrant that:

  1. You are at least 18 years old
  2. You have the legal authority to enter into this Agreement
  3. You own or are authorized to represent the business entity accessing the Service
  4. You will comply with all applicable laws, regulations, and the Terms of Service of any third-party review platforms you use
  5. All information you provide to us (business details, contact information, etc.) is true, accurate, and complete
  6. You will not use the Service for any illegal, fraudulent, or unauthorized purpose
  7. You understand and accept that we provide zero liability for all aspects of this Service

If any representation is false or inaccurate, we reserve the right to terminate your account immediately without refund or notice.


4. ACCOUNT REGISTRATION & USE

Single Business Entity Per Account

One account corresponds to one business entity. A single business entity may have multiple locations, provided:

  • All locations are owned/controlled by the same legal entity
  • Your chosen subscription tier permits the number of locations you require

Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Verifying the accuracy and security of any third-party credentials (review site logins, API keys) you provide to us
  • Protecting your own systems and data

We have no liability for unauthorized access, credential compromise, or misuse of your account. If a third-party review site’s account associated with your Service account is hacked, compromised, or suspended, you bear 100% responsibility.

Account Termination

We reserve the right, in our sole discretion and without notice or liability, to:

  • Suspend or terminate your account at any time, for any reason or no reason
  • Delete all associated data
  • Deny you access to the Service
  • Report you to relevant authorities

You may not create a new account to circumvent a suspension or termination.


5. SUBSCRIPTION TIERS & BILLING

Tier Structure

The Service is offered in three subscription tiers. Each tier has specific features and location limits. You are responsible for selecting the appropriate tier for your business needs.

Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel in writing or through your account settings. By providing payment information, you authorize us to charge you on a recurring basis.

Price Changes

We may change pricing at any time. Price changes will take effect at your next renewal date. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refund Policy

Basic Tier: Unconditional 30-Day Refund

Customers on the Basic tier may request a full refund within 30 days of signup, provided the account has not been used.

Standard & Premium Tiers: Conditional Refund

Customers on Standard or Premium tiers are NOT eligible for refunds if account usage exceeds 25% of the tier’s included allocation (measured by number of review imports, responses posted, AI features used, or integrations configured—at our sole discretion).

“Usage” is determined by us in our sole discretion.

Refund Requests

All refund requests must be submitted in writing within the specified window. Refunds are processed within 14 business days.

No Refunds For:

  • Service downtime or interruptions
  • Data loss
  • Third-party review site bans or suspensions
  • Inability to access third-party platforms
  • Unsatisfactory results or performance

Prorated Billing

If you downgrade mid-cycle, overpayment is forfeited. There are no credits, refunds, or transfers.


6. PAYMENT, CHARGEBACKS & COLLECTIONS

Payment Methods

We accept credit cards and other payment methods we designate. You authorize us to charge your payment method for all subscription fees.

Chargebacks & Disputes

If you dispute a charge or initiate a chargeback through your payment provider:

  1. We reserve the right, in our sole discretion, to:
    • Permanently ban your account immediately
    • Suspend access to the Service
    • Demand immediate payment of the disputed amount plus all applicable chargeback fees
    • Report you to relevant authorities
  2. You remain liable for the full amount, regardless of the chargeback outcome
  3. We reserve the right to send your account to collections for any unpaid amounts, chargeback fees, or disputed charges—even if the chargeback is resolved in your favor
  4. A chargeback or dispute may result in permanent termination of your account and blacklisting from future service access

7. THIRD-PARTY REVIEW SITES & COMPLIANCE

Critical Responsibility: Review Site Terms of Service

YOU ARE SOLELY RESPONSIBLE FOR COMPLYING WITH THE TERMS OF SERVICE OF ANY THIRD-PARTY REVIEW PLATFORM YOU ACCESS THROUGH OUR SERVICE. This includes, but is not limited to:

  • Google My Business
  • Trustpilot
  • Yelp
  • Industry-specific review platforms
  • Any other review site

WE PROVIDE ZERO LIABILITY if:

  • Your account is suspended or banned by a review site
  • Your reviews are removed or suppressed
  • Your business listing is penalized
  • You violate a review site’s Terms of Service, policies, or guidelines
  • A review site changes their policies or blocks access to our Service

Our Position on Review Site Compliance

We do not monitor, verify, or ensure your compliance with any review site’s Terms of Service. We do not know:

  • Whether a specific review site permits third-party aggregation tools like ours
  • Whether your use of our Service complies with their policies
  • Whether your account is in good standing with any review site

It is entirely your responsibility to:

  1. Review each platform’s Terms of Service
  2. Verify that your use of our Service complies with their policies
  3. Confirm your account(s) are authorized to use third-party tools
  4. Monitor your accounts for suspensions, bans, or policy violations

If a review site bans your account, that is your problem, not ours. We assume zero liability.


8. POSTING & RESPONDING TO REVIEWS

Customer-Posted Responses

When you compose and post responses to reviews through our Service, you are responsible for:

  • The accuracy, legality, and appropriateness of every word you write
  • Compliance with all review site policies
  • Not posting false, defamatory, harassing, illegal, or misleading content
  • Proper disclosure of your business identity where required

We have zero liability for anything you post. If a review site removes your response, bans your account, or penalizes you for your content, that is your responsibility.

AI-Generated Responses

If you purchase AI response features:

  1. You are responsible for training, tuning, and monitoring the AI model to ensure it generates appropriate, accurate, and compliant responses
  2. We provide zero liability for:
    • Inaccurate, misleading, or false statements generated by the AI
    • Inappropriate, unprofessional, or offensive language generated by the AI
    • Responses that violate a review site’s policies
    • Responses that expose you to legal liability
    • Any negative consequences from AI-generated content
  3. The AI model is a tool that assists you. You are responsible for reviewing every AI-generated response before posting. Never post an AI response without reading and approving it.
  4. If a review site bans you for AI-generated content, that is your responsibility. We assume zero liability.
  5. We do not guarantee the quality, relevance, or appropriateness of any AI output

9. CRM & POS INTEGRATIONS

If you purchase additional integrations with your Customer Relationship Management (CRM), Point of Sale (POS), or other third-party systems:

  1. You are solely responsible for:
    • Setting up, configuring, and testing all integrations
    • Verifying that data syncs correctly
    • Monitoring integration health and errors
    • Resolving any data discrepancies or mismatches
  2. We provide zero liability for:
    • Data syncing errors, delays, or failures
    • Incomplete or corrupted data transfers
    • Loss of data during integration
    • Incompatibility between systems
    • Any negative business impact from integration issues
  3. If an integration malfunctions, you must contact your CRM/POS provider’s support. We do not troubleshoot third-party integrations.

10. DATA & PRIVACY

What Data We Store

We aggregate review data from third-party review sites. We also store:

  • Your business contact information (name, phone, email)
  • Your login credentials
  • Billing/payment information
  • Any custom responses or notes you create

Data Deletion

Upon account termination or cancellation:

  • All data is deleted from our systems within 30 days
  • We retain no backups or copies
  • We cannot recover deleted data

You are responsible for exporting or backing up any data before account termination.

No Liability for Data Loss

We have zero liability for:

  • Loss, corruption, or deletion of any data
  • Unauthorized access to your data
  • Breaches (though we use industry-standard security)
  • Inability to recover deleted data

You assume all risk of data loss.

Third-Party Data

All review data is owned by the respective review sites. We do not claim ownership of this data. Review sites may modify or delete data at any time, and we have no control over this.


11. PROHIBITED ACTIVITIES

You agree NOT to:

  1. Violate review site policies:
    • Create fake reviews
    • Incentivize reviews (pay-for-review schemes)
    • Suppress or manipulate negative reviews
    • Post false or misleading information
    • Violate any review platform’s Terms of Service
  2. Abuse the Service:
    • Use automated tools to scrape, crawl, or extract data beyond intended use
    • Reverse-engineer or attempt to hack the Service
    • Interfere with Service operation or security
    • Use the Service for illegal purposes
  3. Impersonate or Deceive:
    • Pretend to be a customer when posting fake reviews
    • Misrepresent your business or qualifications
    • Use the Service to deceive customers or review platforms
  4. Violate Laws:
    • Use the Service in any manner that violates applicable law
    • Post content that is illegal, defamatory, or harassing

Violation of these provisions may result in immediate account termination without refund or notice.


12. LIABILITY DISCLAIMERS & LIMITATIONS

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS.

We disclaim all warranties, express or implied, including:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding accuracy, completeness, or timeliness of data
  • Warranties regarding uninterrupted or error-free operation

We make no promise that the Service will:

  • Be available at all times
  • Be free from errors, bugs, or security vulnerabilities
  • Integrate seamlessly with third-party systems
  • Generate results or outcomes
  • Comply with any specific requirement

Limitation of Liability

OUR TOTAL LIABILITY TO YOU IS LIMITED TO THE SUBSCRIPTION FEES YOU PAID IN THE 6 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR:

  • Lost profits, lost revenue, or lost data
  • Indirect, incidental, consequential, or punitive damages
  • Damages arising from third-party review site actions (bans, suspensions, policy changes)
  • Damages from data loss, breaches, or unauthorized access
  • Damages from service downtime or unavailability
  • Damages from AI-generated content
  • Any other damages whatsoever

Even if we have been advised of the possibility of such damages.

This limitation applies to all claims, whether in contract, tort, negligence, strict liability, or otherwise.

No Liability for Third Parties

We have zero liability for:

  • Review site policies, actions, or changes
  • Third-party integrations (CRM, POS, etc.)
  • Content posted by you or AI systems
  • Security breaches or unauthorized access
  • Acts or omissions of payment processors

13. INDEMNIFICATION

You agree to indemnify, defend, and hold us harmless from:

  • Any claims, damages, or losses arising from your use of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of a review site’s Terms of Service
  • Content you post or responses you generate (whether manual or AI)
  • Any harm caused to third parties by your use of the Service
  • Chargeback fees, collections costs, and legal fees we incur

14. TERM & TERMINATION

Agreement Term

This Agreement begins when you create an account and continues for as long as you use the Service.

Termination Rights

We may terminate or suspend your account at any time, for any reason, without notice or liability, including:

  • Violation of these Terms
  • Suspected fraudulent activity
  • Non-payment
  • Chargeback or dispute
  • Review site suspension or ban
  • At our sole discretion, for any reason or no reason

Effect of Termination

Upon termination:

  • Your access to the Service ends immediately
  • All data is deleted within 30 days
  • You remain liable for all charges incurred
  • You forfeit any unused subscription fees
  • You may not create a new account

15. MODIFICATIONS & SERVICE CHANGES

We reserve the right to:

  • Modify, suspend, or discontinue the Service at any time, with or without notice
  • Change features, functionality, or pricing
  • Restrict access to certain features
  • Perform maintenance that may interrupt service

We have zero liability for service modifications, interruptions, or discontinuance.

You agree that we have no obligation to maintain the Service or provide updates, patches, or support.


16. DISPUTE RESOLUTION

Governing Law

These Terms are governed by the laws of Ontario, without regard to conflicts of law principles.

Informal Resolution

Before initiating formal disputes, you agree to contact us at compliance@expertweb.net to attempt informal resolution.

Binding Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration in Ontario, rather than court proceedings. You waive the right to trial by jury and class action.


17. MISCELLANEOUS

No Warranty of Results

We do not guarantee that use of the Service will:

  • Increase your reviews
  • Improve your ratings
  • Boost your business
  • Comply with any law or regulation
  • Prevent review site suspensions

Results depend entirely on your actions, business practices, and compliance with review site policies.

Entire Agreement

These Terms constitute the entire agreement between you and us. Any prior agreements, understandings, or negotiations are superseded.

Severability

If any provision is found invalid or unenforceable, that provision is severed, and the remaining Terms continue in full force.

Assignment

We may assign our rights or obligations under these Terms at any time. You may not assign without our written consent.

No Partnership

Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and us.

19. ACKNOWLEDGMENT

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE THAT YOU ASSUME ALL RISK AND LIABILITY FOR YOUR USE OF THE SERVICE.

You further acknowledge that:

  • We provide zero liability for all aspects of the Service
  • You are responsible for review site compliance
  • You are responsible for all content you post
  • You are responsible for data security and loss
  • You are responsible for all consequences of using the Service

If you do not agree with these Terms, do not use the Service.
